Terms & Conditions

1. Acceptance

These Terms & Conditions (the “Terms”) apply to all orders placed with Radius Systems Pvt. Ltd . By placing an order, you (“you”, “the Customer”) agree to these Terms, which take precedence over any conflicting terms on your purchase order RadiusVision+10Radius CTS+10Radius Systems Private Limited+10.

2. Orders & Forms

No order is binding until accepted by us in writing or through product/service delivery.
You are responsible for ensuring that all order details—including specifications, quantities, and delivery instructions—are accurate .

3. Pricing & Payment Terms

Prices are as quoted or listed at the time of order confirmation.
Payment is due within 30 days of the invoice date unless otherwise stated Radius CTS.

4. Delivery & Risk

Unless stated otherwise, goods are dispatched “Ex‑Works” under Incoterms.
Risk transfers to you upon our delivery to the carrier or your chosen destination Radius Systems.

5. Title Retention

Ownership remains with us until full payment is received .

6. Warranties & Remedies

We warrant that our products meet specifications and are defect-free for 12 months from delivery Radius Systems.
Remedies for valid warranty claims include repair, replacement, or refund at our discretion Radius Systems Private Limited.

7. Liability Limitation

We are not liable for indirect or consequential losses (e.g., lost profits, business interruption) Radius Systems.
Our total liability is capped at the price of the affected goods or services Radius Systems.

8. Cancellation & Changes

Orders may be modified or cancelled only with our written agreement; cancellation may incur costs to cover our expenses .

9. Force Majeure

We are excused from delays caused by events beyond our control, such as strikes, natural disasters, or governmental acts .

10. Confidentiality & Intellectual Property

All proprietary information exchanged between us remains confidential.
Any specifications, designs, or work provided by us remain our intellectual property .

11. Governing Law

These Terms are governed by Indian law, and disputes are subject to jurisdiction in our registered location.
